Terms of Use & End User License Agreement

1. Acceptance & the Parties

This End User License Agreement (the “EULA” or the “Agreement”) is between you and Innova Electronics Corporation, a California corporation with its principal place of business at 17352 Von Karman Avenue, Irvine, CA 92614 (“Innova,” “Company,” “we,” or “us”). AskFixy is a product and service of Innova, offered through the websites at askfixy.com, chat.askfixy.com, api.askfixy.com, and any associated mobile or desktop applications, APIs, embedded widgets, and downloadable software (collectively, the “Services”).

By accessing the Services, completing any registration, clicking a button labeled “Accept,” “I agree,” or similar, or otherwise using AskFixy, you confirm that you have read this Agreement, are at least 18 years of age, have the capacity to enter into a binding contract, and agree to be bound by it immediately. You also consent to our Privacy Policy, which is incorporated by reference into this Agreement.

If you do not agree to all of these terms, you may not access or use the Services. If you are using the Services on behalf of a business, organization, or other legal entity (for example, as an authorized representative under an API integration agreement), you represent that you have authority to bind that entity, in which case “you” refers to that entity.

2. Description of the Services

AskFixy provides AI-assisted automotive diagnostic, information, and recommendation tools, which may include, without limitation:

• Conversational diagnostic assistance, including interpretation of OBD-II diagnostic trouble codes (DTCs), symptom-based troubleshooting, and probable-cause hypotheses;
• Suggested next-step repair tasks, part references, tools, search terms, video tutorial suggestions, and shop-cost ranges. These are starting points for your own research, not final recommendations;
• Vehicle health questions and answers, photo or audio analysis when you upload such content, and links to third-party content (e.g., video tutorials, parts marketplaces, repair providers);
• A developer API (api.askfixy.com) that lets businesses embed AskFixy intelligence in their own products, subject to a separate API agreement and to this EULA where applicable;
• Account features such as saved garages, conversation history, and feedback tools.

The Services are an informational supplement to qualified mechanical work. They are not a roadside assistance service, an emergency service, an insurance product, a parts retailer, or a substitute for the judgment of an ASE-certified technician. AskFixy does not directly perform vehicle repairs.

3. Restrictions on Use; AI-Specific Acknowledgments

3.1 Not professional advice.

All Content provided through AskFixy is for general informational and educational purposes only. It is not professional advice (mechanical, engineering, safety, medical, legal, financial, or otherwise), is not a substitute for the inspection, diagnosis, or work of a qualified ASE-certified automotive technician, and creates no professional or fiduciary relationship between you and Innova. You assume sole responsibility for any decision you make based on the Services and for verifying the accuracy of any output before acting on it.

3.2 AI output may be wrong.

AskFixy relies on large language models and other machine-learning systems (some operated by Innova and some by third-party providers, including OpenAI, xAI/Grok, Anthropic, and others, collectively the “Model Providers”). You acknowledge that AI systems can and do produce incorrect, incomplete, outdated, biased, offensive, fabricated, or contradictory output, including: non-existent part numbers, incorrect torque specs, unsafe procedure sequencing, misidentified vehicle systems, hallucinated TSBs/recalls, and confidently wrong code interpretations. You agree to treat all AI output as a starting point for further verification and never as authoritative.

3.3 No safety-critical reliance.

You shall not use AskFixy for, or in connection with, any safety-critical decision, including without limitation:

• Operation of a vehicle whose drivability you have not first confirmed with a qualified technician;
• Brake, steering, airbag/SRS, fuel system, or high-voltage / EV battery service that you are not personally qualified to perform;
• Decisions affecting human life, bodily integrity, or property exposed to imminent risk;
• Medical, legal, or financial decisions of any kind.

If you are uncertain whether a repair is safe to undertake yourself, stop and contact a qualified technician.

3.4 Don't drive while using AskFixy.

You shall not interact with the Services while operating a vehicle. If you have an automotive emergency, pull off the road safely and call a roadside assistance service or, in the case of life-threatening emergency, 911.

3.5 No misuse.

You shall not, and shall not enable any third party to:

• Submit prompts, photos, audio, video, or other inputs that you do not have lawful right to submit, that infringe any third-party right, or that violate any law;
• Submit inputs containing the personal information of any third party without their explicit consent (including names, contact information, license plates, or any other identifier);
• Attempt to extract the underlying model weights, training data, prompts, system messages, or proprietary instructions of AskFixy or any Model Provider, including via prompt-injection, jailbreaking, or social-engineering attacks;
• Use the Services to generate content that is illegal, defamatory, harassing, hateful, sexually explicit, that depicts minors in any sexualized context, that promotes self-harm, or that violates the acceptable-use policies of any Model Provider;
• Use the Services to produce content intended to harm, defraud, or impersonate any person or entity;
• Use the Services or any output thereof to train, fine-tune, or otherwise develop a competing AI model or automotive diagnostic service;
• Scrape, crawl, bulk-download, or otherwise extract Content other than through documented API endpoints used within their rate limits;
• Reverse engineer, decompile, disassemble, or attempt to derive source code, model weights, or trade secrets from the Services;
• Resell, sublicense, time-share, or operate the Services as a service bureau for third parties without a written reseller agreement signed by an authorized Innova executive;
• Bypass, disable, or interfere with any security, rate-limiting, content-moderation, billing, or authentication mechanism of the Services;
• Use the Services in a manner that violates U.S. export-control law (including the EAR, OFAC sanctions, and ITAR) or the laws of any other jurisdiction applicable to you.

3.6 Vehicle and ownership representations.

You represent that any vehicle you register, scan, or describe through the Services is owned by you, or that you have the express authorization of the registered owner to use the Services in connection with that vehicle. You assume all liability for any breach of this representation.

3.7 Third-party service providers.

The Services may surface links or recommendations for third-party repair shops, parts retailers, video tutorials, or other providers. Innova does not endorse, warrant, or assume liability for any third party or their products, work, advice, prices, or content. Any transaction with a third party is solely between you and that third party.

4. License Grant

Subject to your compliance with this Agreement, Innova grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your own internal, non-commercial use (or, if you have a separate written commercial agreement with Innova, for the commercial uses expressly permitted in that agreement). All rights not expressly granted are reserved. This is not a concurrent-use license. You may not share your account credentials or session cookies.

5. Accounts; Security

Some features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You shall promptly notify us at security@askfixy.com of any unauthorized access. We may suspend or terminate accounts that we reasonably believe to be compromised, abusive, or used in violation of this Agreement.

6. User Content; Your License to Innova

You retain ownership of the inputs you submit (text prompts, photos, audio, vehicle data, feedback, etc.) (collectively, “User Content”). By submitting User Content, you grant Innova and its Model Providers a worldwide, royalty-free, sublicensable license to host, store, copy, transmit, display, and process the User Content as needed to operate the Services, respond to your prompts, prevent abuse, comply with law, and—subject to the opt-out described in our Privacy Policy—to improve the Services, including evaluation, debugging, and (in anonymized or aggregated form) model training.

You represent that your User Content does not infringe third-party rights, does not contain another person's personal information without consent, and complies with this Agreement and all applicable laws.

7. AI Output; Ownership; No Warranty of Accuracy

To the extent permitted by law and as between you and Innova, Innova does not claim copyright in the textual output that the Services produce in response to your prompts (“AI Output”), and you may use AI Output for your lawful purposes, subject to this Agreement. However:

• AI Output may not be unique to you; similar prompts can yield similar outputs for other users.
• AI Output may incorporate factual claims, part numbers, prices, procedures, or media references that are incorrect, incomplete, outdated, or fabricated. You must independently verify.
• You shall not claim that AI Output was authored by a human professional, nor use AI Output in a manner that implies a professional opinion has been rendered.
• You are solely responsible for any reliance on, or downstream use of, AI Output, including any decision to perform or refrain from performing a repair or to purchase or refrain from purchasing a part or service.

8. Beta Features

Some features may be labeled “Beta,” “Preview,” “Experimental,” or similar. Beta features are provided AS IS with no warranty of any kind and may be changed, withdrawn, or rate-limited at any time without notice. Innova may collect additional diagnostic data on Beta features to improve them.

9. Children Under 18

The Services are not directed to, and shall not be used by, individuals under 18 years of age. We do not knowingly collect personal information from anyone under 18. If you become aware that a person under 18 has used the Services or provided us with information, please contact privacy@askfixy.com and we will take prompt steps to delete it.

10. Indemnification

You agree to defend, indemnify, and hold harmless Innova, its parents, subsidiaries, affiliates, the Model Providers, and each of their respective officers, directors, employees, agents, and licensors, from and against any claim, demand, loss, liability, damage, judgment, settlement, fine, cost, or expense (including reasonable attorneys' fees) arising out of or in connection with: (i) your access to or use of the Services; (ii) your User Content; (iii) your breach of this Agreement or any representation made here; (iv) your violation of any applicable law or any third-party right; or (v) any decision you make (or fail to make) in reliance on the Services.

11. Reservation of Rights

The Services, including all software, models, prompts, system messages, model outputs in aggregate form, training pipelines, evaluation data, vehicle knowledge bases, designs, logos, text, graphics, video, and documentation (collectively, the “IP”), are owned by or licensed to Innova and protected by patent, copyright, trademark, and other intellectual-property and trade-secret laws. The trademarks “AskFixy,” the AskFixy logo, “Innova,”and related marks are owned by Innova or its affiliates. No license to any IP is granted except as expressly stated in Section 4. All other rights are reserved.

12. Privacy

Our collection, use, sharing, and retention of personal information is described in our Privacy Policy. By using the Services you consent to that policy.

13. Third-Party Services; Model Providers

The Services depend on third-party infrastructure, including the Model Providers listed in Section 3.2, cloud hosting providers (Amazon Web Services), authentication providers (Google/Firebase), payment processors, search and video providers (e.g., YouTube), and analytics providers. Inputs and outputs are transmitted to and processed by these providers subject to their terms and privacy policies. Innova is not responsible for these third parties' acts or omissions.

14. Updates; Changes to the Services

Innova may, at its sole discretion, modify, add, remove, deprecate, replace, or temporarily or permanently discontinue any feature of the Services at any time, with or without notice. We may modify this Agreement from time to time. Material changes will be communicated through the Services or by email where required. Your continued use after the effective date of changes constitutes acceptance.

15. Availability; No Guarantee of Uptime

We provide the Services on a best-effort basis. We do not guarantee that the Services will be available, uninterrupted, accurate, secure, or error-free, and we are not liable for any outages, latency, model downtime, or degradation, whether caused by us or by any third party.

16. Term; Termination

This Agreement takes effect when you first access the Services and continues until terminated. You may terminate by ceasing use and deleting your account. We may suspend or terminate your access at any time, with or without notice, for any reason, including suspected breach of this Agreement. Upon termination, Sections 3, 6, 7, 9, 10, 11, 18, 19, 20, 21, and 25 survive.

17. Export Controls

The Services may be subject to U.S. export-control and sanctions laws. You shall not access, use, export, re-export, or transfer the Services or any data derived from them in violation of any such law, and you represent that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to a comprehensive U.S. embargo (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine) and that you are not on any U.S. government denied, blocked, or restricted persons list.

18. Disclaimer of Warranty

THE SERVICES, AI OUTPUT, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, INNOVA AND THE MODEL PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR QUIET ENJOYMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, INNOVA MAKES NO REPRESENTATION OR WARRANTY THAT THE SERVICES OR ANY AI OUTPUT WILL BE ACCURATE, COMPLETE, TIMELY, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR REPAIR, VEHICLE, OR DECISION. NO ORAL OR WRITTEN STATEMENT BY INNOVA OR ANY OF ITS AGENTS CREATES ANY WARRANTY.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL INNOVA OR THE MODEL PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR BUSINESS, OR ANY PHYSICAL OR PROPERTY DAMAGE ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE SERVICES, OR THE AI OUTPUT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF INNOVA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL INNOVA'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID INNOVA FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (II) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, INNOVA'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

20. Release

To the fullest extent permitted by law, you release Innova and its affiliates, the Model Providers, and each of their respective officers, directors, employees, and agents from all claims, liabilities, and losses (including any physical, mental, emotional, or property damage, illness, or injury) arising out of or in connection with your use of, or reliance on, the Services or AI Output.

21. Disputes & Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES INDIVIDUAL ARBITRATION, WAIVES THE RIGHT TO A JURY TRIAL, AND WAIVES THE RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE PROCEEDING.

21.1 Informal resolution. Before initiating arbitration, you and Innova will each give the other a written notice of dispute by email to legal@askfixy.com and to your contact email of record. The parties will attempt to resolve the dispute informally for at least sixty (60) days before pursuing arbitration.

21.2 Binding arbitration.Any dispute, claim, or controversy arising out of or relating to the Services or this Agreement that is not resolved informally will be resolved through binding, individual arbitration administered by JAMS in Orange County, California, before a single arbitrator under the JAMS Comprehensive Arbitration Rules and Expedited Procedures (or, where the amount in controversy is under JAMS' small-claims threshold, the JAMS Streamlined Arbitration Rules). Judgment on the award may be entered in any court of competent jurisdiction.

21.3 Federal Arbitration Act. This Section is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16.

21.4 Exceptions. Either party may bring qualifying disputes in small-claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property or confidentiality.

21.5 Class-action waiver.YOU AND INNOVA EACH WAIVE THE RIGHT TO PURSUE DISPUTES ON A CLASS, CONSOLIDATED, OR REPRESENTATIVE BASIS. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. If a court finds the class-action waiver unenforceable in a particular case, the entire arbitration agreement is null and void as to that case and that case shall be resolved in court.

21.6 Jury waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND INNOVA EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

21.7 Costs & fees.Each party will pay its own fees, costs, and expenses, including attorneys' fees, experts, and witnesses, and each party waives any claim for, or award of, attorneys' fees.

21.8 Applicable law.To the extent the Federal Arbitration Act does not supply the substantive law necessary to resolve the dispute, the laws of the State of California apply, except that California choice-of-law rules will not be used to direct the application of another jurisdiction's law.

22. Governing Law; Venue

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration, the state and federal courts located in Orange County, California have exclusive jurisdiction, and you submit to the personal jurisdiction of those courts.

23. International Users

The Services are operated from the United States. If you access the Services from outside the United States, you are responsible for compliance with local law and you consent to the transfer of your information to the United States for processing, where data-protection laws may differ from those of your country.

24. U.S. Government End Users

The Services are commercial computer software as defined at 48 C.F.R. § 2.101, consisting of commercial computer software and commercial computer software documentation as such terms are used in 48 C.F.R. § 12.212. U.S. Government end users acquire the Services with only those rights set forth in this Agreement.

25. Miscellaneous

This Agreement, together with the Privacy Policy and any commercial agreement you may have with Innova, is the entire agreement between you and Innova regarding the Services and supersedes any prior understandings. If any provision is held unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in effect. Innova's failure to enforce any right is not a waiver of that right. You may not assign this Agreement; Innova may assign it to any affiliate or successor. Innova will not be liable for any delay or failure caused by events beyond its reasonable control. Nothing in this Agreement creates an agency, partnership, joint venture, or employment relationship between you and Innova. Sections labeled in this Agreement are for convenience only and do not affect interpretation.

All content, including information, data, software, photographs, graphs, videos, typefaces, graphics, music, sounds, and other material accessible through the Services, is Copyright © 2026 Innova Electronics Corporation, 17352 Von Karman Avenue, Irvine, CA 92614, USA. All rights reserved, or is otherwise owned by Innova and protected under applicable U.S. and international copyright, patent, trademark, trade-secret, and other laws. Copyright and other intellectual-property laws and treaties protect any hardware, software, and content provided as part of the Services. Innova owns the title, copyright, and other intellectual-property rights in the Content.

AskFixy, the AskFixy logo, Fixy, the Fixy mark, and related marks (collectively, the “AskFixy Marks”) are trademarks and/or registered trademarks of Innova Electronics Corporation in the United States and other jurisdictions. No license to use any AskFixy Mark is granted by this Agreement except as expressly stated. You shall not use, register, or seek to register any AskFixy Mark or any mark confusingly similar to an AskFixy Mark. All other names and marks referenced through the Services (including product names, model names, vehicle marks, and partner names) are the property of their respective owners and are used for identification purposes only; their appearance does not imply any endorsement, partnership, affiliation, or relationship with the respective owners unless explicitly stated.

Any rights not expressly granted in this Agreement are reserved by Innova Electronics Corporation.
